NioBay Metals (TSX-V: NBY) (OTCQB: NBYCF), previously known as MDN, is a Canadian mineral exploration company that was founded in the 1950s by hockey legend Serge Savard’s father, Laurent Savard, in Quebec’s Abitibi region. Today, NioBay’s management team offers a diversified set of expertise in Critical and Strategic Minerals with an emphasis on Niobium.

 

NioBay plans to capitalize on a variety of projects, in both Quebec and in Ontario, while conducting Research & Development through partnerships with several universities.

About Niobium

 

Niobium is a naturally occurring element. It is a metal that is ductile, malleable and highly resistant to corrosion. Because it enhances properties and functionalities, niobium is used in a wide range of materials and applications in the Mobility, Structural and Energy sectors. Niobium transforms materials. When added to materials like steel, glass and aluminum castings, niobium makes them more efficient and lowers environmental impacts, while also increased value.

 

 

Projects

 

Crevier

 

The Crevier deposit was discovered in 1974 by SOQUEM. NioBay Metals acquired it in 2008 with the goal to extract both niobium and tantalum. Thanks to the Crevier project, NioBay Metals would become the only producer of niobium oxide and tantalum in North America.

 

Foothills

 

On February 7, 2024, NioBay signed a definitive option agreement with Vior Inc. to acquire an undivided 80% interest in Vior’s Foothills Project, On February 7, 2024, with strong potential for the discovery of critical and strategic metals. It covers most of the contact of the intrusive zone known as the St. Urbain anorthosite. Samples with a high phosphate content, an element newly added to Quebec’s list of critical and strategic metals, were taken at the site in the summer of 2023.

 

James Bay

 

The James Bay property was discovered in 1966 by Consolidated Morrison Explorations. NioBay Metals acquired it in 2016.

 

QTZ

 

The QTZ exploration project is northwest of its Crevier property and includes 257 mining claims. The Company will verify the Lithium (Li) potential in this area following completion of its compilation work. This newly staked area adds 14,116 ha to the portfolio of mining claims for NioBay.

Jean-Sébastien David

President, CEO and Director

 

Jean-Sébastien David, COO of Arianne Phosphate Inc., spearheads the development of the Lac à Paul mining project (Flag ship project) in the Saguenay region of Quebec, Canada. Previously, as the VP of Sustainable Development at Osisko Mining Corporation (2007-2012), he played a pivotal role in securing vital authorizations for the Canadian Malartic Project. His expertise spans project evaluation, strategic consultations with regulatory bodies, and fruitful negotiations with diverse stakeholders, including First Nations groups. He has also been a driving force behind the formulation and execution of sustainable development policies. With a career spanning various roles in mining, forestry, and environmental operations, Jean-Sebastien’s journey began at Nutrinor in 1993 and continued with stints at IAMGOLD, Cambior, and Louisiana-Pacific. His academic foundation, a BA in Geology and a Masters in Project Management from Université du Québec à Chicoutimi, complements his practical experience, making him a dedicated advocate for sustainability and innovation in the natural resource industry.

 

Anthony Glavac

Chief Financial Officer, Corporate Secretary

 

Mr. Anthony Glavac has over 20 years of experience in financial reporting, including over 12 years in the mining industry. Since 2018, Mr. Glavac has served as Chief Financial Officer for Falco Resources Ltd. and previously served as Director, Financial Reporting and Internal Controls at Dynacor Gold Mines and Interim Chief Financial Officer at Alderon Iron Ore Corp. Prior to joining Alderon, Mr. Glavac spent 10 years at KPMG, working with both public and private companies, providing audit, taxation, strategic advisory and public offering services. Mr. Glavac is also involved with other public companies in the mining industry.

 

Marc Pothier, LL.B

External Counsel

 

Marc Pothier focuses primarily on securities, corporate finance, and mining law. He has participated in numerous initial public offerings, exchange listings, private placements, mergers, arrangements, spin-offs, reorganizations, takeovers, and qualifying transactions conducted by many issuers. Marc is consistently ranked as a leading lawyer in the mining and natural resources law sector. He is included by the Best Lawyers in Canada Directory since 2008 and in the Canadian Legal LEXPERT Directory since 2012. Marc Pothier was named the Best Lawyers® 2015 Natural Resources Law “Lawyer of the Year” in Montreal. Marc’s expertise was instrumental in the successful sale by Virginia Gold Mines Inc. of its Éléonore gold project to Goldcorp Inc. for a total consideration of US$420 million.

Serge Savard, a dynamic force, has been a Partner at Messier, Savard & Associates since 1993. Beyond his distinguished career in business, he passionately champions community causes through numerous fundraisers and initiatives. Before his remarkable tenure as a Partner, Savard’s legacy was forged on the ice as a National Hockey League legend. He etched his name into history with an astounding eight Stanley Cup victories alongside the Montreal Canadiens. His extraordinary contributions to the sport led to his well-deserved induction into the hallowed Hockey Hall of Fame in 1986, where his impact continues to inspire future generations.

Dawn Madahbee Leach

Director

 

Dawn Madahbee Leach, a stalwart leader at Waubetek Business Development Corporation since 1988, brings a wealth of experience. She holds a degree in Political Science and Law from York and Laurentian Universities, complementing her education in Economic Development from the University of Waterloo. Her journey includes public sector program development, successful entrepreneurship with a 12-year small retail venture in Aundeck Omni Kaning First Nation, and consultancy for various First Nation communities. Dawn’s diverse roles extend to serving on the boards of Peace Hills Trust, the Northern Policy Institute, and as Vice-Chair of the National Indigenous Economic Development Board. Her illustrious history features positions on the boards of North-East Local Health Integration Network, the Ontario Development Corporation, and Innovations Ontario. She’s also held the esteemed role of Chairperson at the Northern Ontario Development Corporation and actively participates in numerous Federal and Provincial economic advisory committees. Dawn Madahbee Leach stands as a beacon of leadership and innovation in economic development.

 

Raymond Legault

Director

 

Raymond Legault holds a bachelor’s and a master’s degree in economics from Université de Montréal. For eight years (1997 to 2005), he was an investment executive with ScotiaMcLeod, where he offered consulting services to individual investors and small business owners with respect to their investment portfolios. He was also president and general manager of his own publishing company for 14 years and, prior to that, held different senior management positions for 10 years for a major telecommunications company. Mr. Legault is currently a financial consultant.

 

Laurence Farmer

Director

 

Laurence Farmer was appointed to the Board of Directors of NioBay Metals Inc. in March 2025. A seasoned legal and financial executive, Mr. Farmer holds dual Bachelor of Civil Law and Juris Doctor (B.C.L./J.D.) degrees from McGill University and is a member of the Québec Bar. Currently serving as General Counsel, Vice President of Strategic Development, and Corporate Secretary at Osisko Development Corp. since July 2022, he brings more than a decade of international experience in mergers & acquisitions, corporate finance, and capital markets. His career includes practicing corporate law with Norton Rose Fulbright in Montreal and London, followed by investment banking with RBC Capital Markets in London. Throughout his distinguished career in the mining sector, Mr. Farmer has played key roles in developing, structuring, and closing transactions exceeding US$20 billion in aggregate value. Additionally, he is the Co-Founder and Chief Executive Officer of Electric Elements Mining Corp., a privately-held exploration company focused on precious and critical metals projects, which was spun out from Osisko Development in November 2023.

 

Josiane Beaudry

Director

 

Josiane Beaudry is a partner at Lavery, de Billy, LLP in the Business Law group. She practices primarily in securities, investment funds, and mining law. She assists clients in public and private financings, corporate reorganizations, and mergers and acquisitions. She also assists public companies in maintaining their reporting issuer status. Ms. Beaudry is also a director of the Quebec Mineral Exploration Association, a member of the Advisory Committee on Corporate Finance of the Autorité des marchés financiers, and a member of the Quebec Advisory Committee of the TSX Venture Exchange. Ms. Beaudry has been a member of the Quebec Bar since 2000.
