
Teako Minerals Corp. (CSE: TMIN) is pleased to announce the closing of its previously announced non-brokered private placement offering of common shares of the Company. Pursuant to the Offering, the Company issued 8,478,166 Common Shares at a price of $0.06 per Common Share for total gross proceeds of $508,690. The Offering was fully subscribed by the Company’s strategic investor group of K.A. Rasmussen AS.
The Company intends to use the net proceeds of the Offering for anticipated exploration activities as well as general working capital. The Common Shares are subject to a four-month and one-day hold period. The Common Shares offered have not been registered under the U.S. Securities Act of 1933, as amended (the “U.S. Securities Act“), or any applicable state securities laws and may not be offered or sold to, or for the account or benefit of, persons in the United States or “U.S. persons,” as such term is defined in Regulation S promulgated under the U.S. Securities Act, absent registration or an exemption from such registration requirements.
